Harzand.ai provides AI-powered communication tools for automotive dealerships, including:

  • AI Phone Assistants for handling customer calls
  • Website Chatbot for customer engagement
  • Call Transcription and analytics services
  • CRM integrations (Salesforce, Keyloop, etc.)

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration and Security

To use certain Services, you must create an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

You must be at least 18 years old and authorized to bind your organization to these Terms.

4. Subscription and Payment

4.1 Fees

Subscription fees are billed monthly or annually as specified in your service agreement. All fees are exclusive of VAT and other applicable taxes unless otherwise stated.

4.2 Payment Terms

  • Payments are due according to the billing cycle you select
  • You authorize us to charge your payment method automatically
  • Failure to pay may result in suspension or termination of Services

4.3 Price Changes

We may change subscription fees with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new fees.

4.4 Refunds

Refunds are provided at our discretion. Free trial periods are excluded from refund eligibility.

5. Acceptable Use Policy

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use the Services to harass, abuse, or harm others
  • Resell or redistribute the Services without authorization

6. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy.

You retain ownership of all customer data processed through our Services. You grant us a license to process this data solely to provide the Services to you.

You are responsible for ensuring you have the necessary rights and consents to collect and process customer data through our Services, including compliance with FCA regulations and UK GDPR.

7. Intellectual Property

The Services, including all software, algorithms, content, and branding, are owned by Harzand.ai and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Services
  • Remove proprietary notices or labels

8. Service Level Agreement

We strive to provide 99.9% uptime for our Services, excluding:

  • Scheduled maintenance (with advance notice)
  • Force majeure events
  • Failures caused by third-party services
  • Issues arising from your misuse of the Services

Service credits may be available for significant downtime as outlined in your service agreement.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. AI-generated responses may not always be accurate, and you are responsible for reviewing and verifying AI outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARZAND.AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from third-party services or integrations

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Harzand.ai from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

Either party may terminate this agreement:

  • At the end of the subscription term with 30 days' notice
  • Immediately for material breach by the other party
  • Immediately if the other party becomes insolvent

Upon termination, you will lose access to the Services, and we will delete your data within 30 days unless legally required to retain it.

13. FCA Compliance

If you are regulated by the Financial Conduct Authority (FCA), you are responsible for ensuring your use of the Services complies with all applicable FCA rules, including:

  • Recording and storing customer communications
  • Treating Customers Fairly (TCF) requirements
  • Clear, fair, and not misleading communications

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on our website. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
